AutoVitals

✓ AutoVitals: What was needed​​​​​​​:

​​​​​​​To serve strategic and tactical oversight to bring $30MM private equity LOI to definitive purchase agreement, serve as special counsel to Chairman of the Board, and serve as seller’s representative at closing.

✓ How we went about it (time and process):

Structured an extensive data room development, coordinated administration of due diligence schedule and domain processes, supported key financial due diligence elements around the quality of earnings. Supported legal, business, technical, and private equity group Tritium Partners, in go-between market verification.

 

✓ Results:

We successfully supported the company through what ended up being an extended due diligence and purchase agreement negotiation process that reached a successful close after four months, setting the company up for expanding its market share and furthering its technology innovation while providing liquidity for investors.

Get Help

Get Help: What was needed​​​​​​​:

To serve in a contract CFO capacity at Get Help, an early stage technology company solving major problems in the addiction treatment, mental health, and healthcare industries, the founder and CEO needed to strengthen his financial infrastructure to help finish up a $750K piece of the pre-seed financing, and prepare for a larger $2.5MM seed round financing.

How we went about it (time and process):

An initial needs assessment identified the need to restructure the company’s chart of accounts to provide more effective financial and managerial reporting, to facilitate structuring and closing of the pre-seed round of capital, and develop a new financial model that spoke to the broader B2G, B2B, and B2C market channels identified since the original B2C model had been developed. This last piece coupled with the help of a pro forma capitalization schedule, formed a basis for putting together an initial $2.5MM seed round.

 

✓ Results:

We successfully restructured the company’s books and published the first Quarterly Update to all investors that included a set of financial statements and supporting schedules. We closed on the remaining $750K of pre-seed funding, and completed the research and build-out of an integrated B2G, B2B, and B2C financial model. We ultimately prepared, negotiated, and opened an equity valued $2.5MM Series-Seed Round with great early commitments from existing investors and advisors which ended up expanding to $3MM, closing in early 2020.
